Terms of Use

1. Agreement

These terms are an agreement between you and STOCKTOOL.AI GLOBAL PRIVATE LIMITED (CIN U62099UP2025PTC225502), registered office [REGISTERED OFFICE ADDRESS] (“StockTool.AI”, “we”, “us”). By creating an account or using the Service you agree to them. If you do not agree, do not use the Service.

Our Privacy Policy and Disclaimer form part of these terms. By accepting these terms, you consent to the collection and processing of your personal data as described in the Privacy Policy.

Where these terms and the Disclaimer differ on research, advice or accuracy, the Disclaimer prevails. On all other subjects these terms prevail.

2. Capacity

You confirm that you are competent to contract under the Indian Contract Act, 1872, and, where you use the Service for an entity, that you are authorized to bind it.

The Service is intended for users aged 18 and over. We do not knowingly solicit data from or market to children under 18 years of age. By using the Service, you represent that you are at least 18, or that you are the parent or guardian of such a minor and consent to that minor dependent’s use of the Service. If we learn that personal information from users less than 18 years of age has been collected, we will deactivate the account and take reasonable measures to promptly delete such data from our records. If you become aware of any data we have collected from children under 18, contact us at support@stocktool.ai.

You are responsible for compliance with any laws that apply where you access the Service.

3. The Service

StockTool.AI is a research and information platform. It processes publicly available material on listed Indian companies, including exchange filings, concall transcripts, annual reports, analyst commentary and news, and produces summaries, structured insights and alerts using artificial intelligence.

4. What the Service is not

• Not investment advice. We are not a SEBI-registered investment adviser and not a SEBI-registered research analyst. Nothing in the Service is a recommendation to buy, sell or hold any security.
• Not a broker. We hold no client funds or securities, place no orders, execute no trades, and have no access to your broker or demat account. We never handle your money.
• Not a complete record. All output is summary. The source document governs.
• Not a guarantee. We give no assurance as to returns, performance or the accuracy of any output.

See the Disclaimer. It applies to every output of the Service at all times, whether or not a disclosure is displayed alongside a particular output.

5. Your account

You are responsible for keeping your credentials secure and for activity under your account. Notify support@stocktool.ai if you believe your account has been accessed by another person. Do not share your account or register in another person’s name.

6. Content and accuracy

Content on the Service is provided for general information and may change without notice. We give no warranty as to the accuracy, timeliness, performance, completeness or suitability of any material, and exclude liability for inaccuracies to the extent permitted by law. You use the Service and rely on its content at your own risk, and it is for you to satisfy yourself that it meets your requirements. History of previous AI insights, AI summaries and news are available only to the extent you can view them on your device. We are not responsible for deletion of any previously generated data or report for the user.

Material on the Service is provided on an “as is” basis and we make no warranties, express or implied. Our data is sourced and curated from various data sources using automated algorithms and artificial intelligence. Although we make our best efforts for accuracy, material appearing on the Service may include technical, typographical or other errors.

7. Coins, payment and refunds

7.1 Coins

All insights and stocks being tracked by the user are paid for with coins. New accounts receive 240 coins free. Further coins may be purchased in packs.

7.2 No subscription

Coins are a one-off prepaid purchase. There is no subscription, no recurring charge and nothing auto-renews. Any future recurring plan would require your separate express opt-in.

7.3 Coin terms

• Coins have no cash value, are not exchangeable for money and are not transferable between accounts.
• A coin is consumed on each request for an insight and for each stock being tracked by the user.
• Coin expiry: Till the validity of last recharged plan or previously recharged plan/s, whichever is later.
• Pack or Plan prices may change. A change does not affect coins already purchased.

7.4 Refunds

In-app purchases are processed by Apple or Google and their refund policies apply; requests must be made to the relevant store. Other payments are processed by our payment gateway; where a payment fails or is duplicated, contact support@stocktool.ai. Coins already consumed are not refundable.

8. Acceptable use

You must not resell, redistribute or republish the Service’s output as your own product; modify or copy the materials on the Service; use the materials for any commercial purpose, or for any public display whether commercial or non-commercial; remove any copyright or other proprietary notation from the materials; transfer the materials to another person or mirror them on any other server; scrape, crawl or bulk-extract content, or attempt to reconstruct our datasets; use the Service to give investment advice to others for consideration unless registered to do so; reverse engineer, decompile or interfere with the Service, or access accounts or data not your own; or use the Service unlawfully, including in breach of securities law.

9. Prohibited actions and content restriction

By browsing or using our platform from mobile, website, or any other platform, you are strictly prohibited from hosting, displaying, uploading, modifying, publishing, transmitting, storing, updating, or sharing any information that:

• belongs to another person and to which the user does not have any right;
• is defamatory, obscene, pornographic, paedophilic, invasive of another person’s privacy (including bodily privacy), insulting or harassing on the basis of gender, libellous, racially or ethnically objectionable, or relating to or encouraging money laundering, gambling, or otherwise unlawful in any manner;
• harms minors in any way;
• infringes any patent, trademark, copyright, or other proprietary rights;
• violates any law currently in force;
• misleads or deceives the addressee about the origin of the message or knowingly and intentionally transmits information that is patently false, misleading, but may be perceived as a fact;
• impersonates another person;
• threatens the unity, integrity, defence, security, or sovereignty of India, friendly relations with foreign states, or public order, or causes incitement to the commission of any cognizable offence or prevents investigation of any offence or insults another nation;
• contains software viruses or any other computer code, file, or program designed to interrupt, destroy, or limit the functionality of any computer resource;
• is patently false and untrue, and is shared with the intent to mislead or harass a person, entity, or agency for financial gain or to cause injury.

In case of non-compliance with rules and regulations, privacy policy or user agreement, StockTool.AI has the right to terminate the access or usage rights of the users to our platforms or computer resources immediately, or remove non-compliant information, or both, as the case may be.

10. Intellectual property

The Service, its software, design, the StockTool.AI name and logo, and the analytical output we generate are ours or licensed to us. You have a personal, non-exclusive, non-transferable, revocable license to use the Service for your own purposes. Reproduction of the site design, layout, graphics or materials is otherwise prohibited except as permitted by copyright law, and unauthorized use may give rise to a claim for damages or to prosecution.

Exchange filings, transcripts, annual reports and news articles remain the property of the source, issuers and publishers that produced them. We summarize as fair dealing for reporting and comment, claim ownership of no source document, and reproduce none in full. Trademarks on the Service that are not ours are the property of their respective owners and are used only to identify the company discussed.

The licence in this clause terminates automatically if you breach any of these restrictions, and may be terminated by us at any time. On termination you must destroy any materials you have downloaded, in any format.

11. Links

Links to other sites are provided for convenience and reference and are not an endorsement. We have not reviewed all of the sites linked from the Service and take no responsibility for the content of any linked site. Use of any linked site is at your own risk.

12. Availability

The Service depends on data from various sources, including but not limited to issuers, news providers and artificial intelligence services, which may be delayed, incomplete, interrupted or inaccurate and which we do not control. We do not warrant uninterrupted access and may suspend the Service for maintenance, security or reasons beyond our control.

13. Liability

Every investment decision you make is entirely your own. You are responsible for verifying anything you rely on against the primary source before acting on it. Consult your financial advisor for the same.

We are not liable for investment loss, lost profits, lost revenues, lost data, loss of opportunity, or for any indirect, special, consequential, exemplary or punitive damages arising from your use of the Service, from any error, omission, delay or interruption, or from any decision you take. Where liability cannot lawfully be excluded, our aggregate liability is limited to the amount you paid us in the twelve months preceding the claim. Nothing excludes liability for fraud or any other liability that cannot lawfully be excluded.

You will indemnify us against claims, losses and reasonable costs arising from your breach of these terms or your unlawful use of the Service.

14. Cancellation and termination

You may close your account at any time from the app. Personal data is then handled as set out in the Privacy Policy. Unused coins are forfeited on closure at your request.

We may suspend or terminate your account on material breach of these terms, where required by law, or where your use threatens the security or integrity of the Service. Save where the breach is serious or we are legally prevented, we will give reasons and an opportunity to remedy. Where we terminate for a reason other than your breach, we will refund the value of unused coins.

15. Outage

There are inherent risks in using internet-, SMS-, WhatsApp-, Telegram-, or email-based services or cloud or data centre or LLMs or AI services for information and research. Subscribers should understand that services can fail due to hardware, software, or internet issues. While we ensure timely delivery to mobile networks, actual delivery to a customer's device is the responsibility of their connectivity provider. Delays or failures in SMS, WhatsApp, Telegram, or email delivery or any other such services on certain days may occur for technical reasons, and StockTool.AI or its employees will not be responsible.

16. Changes

We may amend these terms. Where an amendment materially affects your rights we will give reasonable notice before it takes effect and will change the date on this document. Continued use after that date constitutes acceptance. By using the Service you agree to be bound by the version of these terms then current, and it is for you to review this page from time to time.

17. Governing law and jurisdiction

These terms are governed by the laws of India. The courts at Lucknow, Uttar Pradesh have exclusive jurisdiction.
